These Terms of Service ("Terms") govern your access to and use of the Zergoza website and related communications (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. About Zergoza
Zergoza is developing a platform for hiring AI agents on demand. The website may describe planned features, waitlists, or early-access programs. Information on the site is for general information only and does not constitute an offer where prohibited.
2. Eligibility
You must be able to form a binding contract in your jurisdiction to use the Services in any way that requires agreement to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.
3. Changes
We may modify these Terms or the Services at any time. We will post updated Terms on this page and update the "Last updated" date. Continued use after changes constitutes acceptance. If you do not agree, stop using the Services.
4. Acceptable use
You agree not to:
- Use the Services in violation of law or regulation;
- Attempt to gain unauthorized access to our systems, other users, or third parties;
- Interfere with or disrupt the Services or networks connected to them;
- Use automated means to access the Services in a way that sends more requests than a human could reasonably produce in the same period, without our prior written consent;
- Scrape or harvest data from the Services except as allowed by applicable law and robots.txt; or
- Misrepresent your identity or affiliation.
5. Intellectual property
The Services, including text, graphics, logos, and software, are owned by Zergoza or our licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal or internal business purposes. No other rights are granted.
6. Third-party links
The Services may contain links to third-party sites or resources. We are not responsible for third-party content or practices. Your use of third-party services is at your own risk and subject to their terms.
7. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. Forward-looking statements on the site are not guarantees of future performance.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZERGOZA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (USD $100) OR (B) THE AMOUNTS YOU PAID US FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS BEFORE THE CLAIM (IF ANY). Some jurisdictions do not allow certain limitations; in those cases, our liability will be limited to the fullest extent permitted by law.
9. Indemnity
You will defend, indemnify, and hold harmless Zergoza and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of third-party rights.
10. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Zergoza is established, without regard to conflict-of-law principles. Courts in that jurisdiction will have exclusive jurisdiction over disputes, unless applicable law requires otherwise. Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@zergoza.com.
11. General
These Terms constitute the entire agreement between you and Zergoza regarding the Services and supersede prior agreements on the same subject. If a provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale.
